1. Agreement to Terms

These Terms of Service ("Terms") govern your use of the Gid AI platform and services ("Service") provided by Gid AI ("Company," "we," "our," or "us"). By accessing or using our Service, you agree to be bound by these Terms.

If you are using our Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

Gid AI provides an AI-powered restaurant management and employee engagement platform that includes:

  • Interactive training and coaching sessions
  • Employee performance tracking and analytics
  • Communication tools (SMS, voice, app notifications)
  • Scheduling and workforce management
  • Integration with POS and PMS systems
  • Management dashboards and reporting

3. Account Registration and Security

Account Creation

  • You must provide accurate and complete information when creating an account
  • You are responsible for maintaining the confidentiality of your account credentials
  • You must notify us immediately of any unauthorized access to your account
  • One person or entity may not maintain multiple accounts

Account Security

  • Use strong passwords and enable multi-factor authentication when available
  • Do not share your login credentials with others
  • You are responsible for all activities that occur under your account

4. Acceptable Use

Permitted Use

You may use our Service for legitimate business purposes in the hospitality industry, including restaurants, hotels, and related establishments.

Prohibited Activities

You agree not to:

  • Use the Service for any illegal or unauthorized purpose
  • Violate any local, state, national, or international laws
  • Transmit any harmful, threatening, abusive, or offensive content
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Interfere with or disrupt the Service or servers
  • Use automated tools to access the Service without permission
  • Reverse engineer, decompile, or attempt to extract source code
  • Resell or redistribute the Service without authorization

5. Subscription and Billing

Subscription Plans

We offer different subscription plans with varying features and pricing. Current pricing is available on our website and may change with notice.

Payment Terms

  • Subscriptions are billed monthly or annually in advance
  • All fees are non-refundable except as required by law
  • You authorize us to charge your payment method for all fees
  • If payment fails, we may suspend your account until payment is resolved

Price Changes

We may change our pricing with 30 days' written notice. Price changes will not affect your current billing cycle but will apply to subsequent renewals.

6. Data and Privacy

Your Data

  • You retain ownership of all data you submit to our Service
  • You grant us a license to use your data solely to provide the Service
  • We will not sell or share your data except as described in our Privacy Policy
  • You are responsible for ensuring you have rights to any data you submit

Data Security

7. Service Availability and Support

We strive to maintain high service availability but do not guarantee uninterrupted access. We may perform maintenance that temporarily affects service availability.

  • Support response times vary by subscription plan
  • We may limit support for older versions or deprecated features

8. Intellectual Property

Our Rights

The Service, including all software, designs, text, graphics, and other content, is owned by us or our licensors and is protected by copyright, trademark, and other intellectual property laws.

License to Use

We grant you a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms. This license terminates when your subscription ends.

Feedback

If you provide feedback or suggestions about our Service, we may use that feedback without any obligation to you.

9. Termination

Termination by You

  • You may cancel your subscription at any time through your account settings
  • Cancellation takes effect at the end of your current billing period
  • You remain responsible for all charges incurred before cancellation

Termination by Us

We may suspend or terminate your account if you:

  • Violate these Terms or our policies
  • Fail to pay required fees
  • Use the Service in a way that causes harm or liability
  • Provide false or misleading information

Effect of Termination

  • Your access to the Service will be disabled
  • We may delete your data after a reasonable retention period
  • You may export your data before termination

10. Limitation of Liability

Important: This section limits our liability to you. Please read carefully.

To the maximum extent permitted by law:

  • Our total liability for any claims shall not exceed the fees you paid in the 12 months before the claim
  • We are not liable for indirect, incidental, special, or consequential damages
  • We are not liable for lost profits, data loss, or business interruption
  • These limitations apply even if we knew or should have known about the possibility of damages

11. Warranties and Disclaimers

Service Warranty

We warrant that the Service will perform substantially in accordance with our documentation. If the Service fails to meet this warranty, your sole remedy is for us to use reasonable efforts to correct the issue.

Disclaimers

Except for the limited warranty above, the Service is provided "as is" without warranties of any kind. We disclaim all other warranties, including merchantability, fitness for a particular purpose, and non-infringement.

12. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Any content or data you submit to the Service

13. Dispute Resolution

Informal Resolution

Before filing any legal claim, you agree to first contact us to seek an informal resolution. We commit to working in good faith to resolve disputes.

Governing Law

These Terms are governed by the laws of Canada. Any legal proceedings must be brought in the courts of Canada.

Class Action Waiver

You agree to resolve disputes individually and not as part of a class action or representative proceeding.

14. Changes to Terms

We may update these Terms periodically. We will notify you of material changes by:

  • Sending an email to your registered address
  • Posting a notice in the Service
  • Updating the "Last Updated" date above

Your continued use of the Service after changes become effective constitutes acceptance of the new Terms.

15. General Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in effect.

No Waiver

Our failure to enforce any provision does not waive our right to enforce it later.

Assignment

You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
